Terms of Service

Effective date: October 17, 2026

These Terms of Service ("Terms") govern your access to and use of PodReel, an AI-powered podcast clipping service available at podreel.app (the "Service"). PodReel is operated by Marius Eikenes ("PodReel", "we", "us", "our"), Norway. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Note: PodReel is not yet operated through a registered legal entity. These Terms will be updated with a registered company name and organization number once an entity is established.

1. The Service

PodReel lets you upload podcast video or audio files, which are then automatically transcribed, analyzed by AI to select short clips, reframed, captioned, and rendered as short-form videos ("Clips") that you can publish on your own channels. Features may change as the Service evolves.

2. Accounts and eligibility

You must be at least 18 years old to create an account and use the Service.
You are responsible for the accuracy of your registration information, for keeping your password secure, and for all activity under your account.
You must notify us immediately at hello@podreel.app if you suspect unauthorized use of your account.

3. Subscriptions, credits, and payments

The Service is offered through subscription plans (Starter, Pro, Studio) and optional top-up purchases, billed via Stripe. Prices and plan limits are shown at checkout and on the pricing page.
Processing minutes ("credits") are granted per billing period and consumed as you process episodes. Unused credits do not roll over unless stated otherwise at purchase. Top-up credits remain available while your subscription is active.
Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Payments are handled by Stripe; we do not store your card details. Applicable VAT or other taxes may be added to the price.
Refunds are handled on a case-by-case basis. Contact hello@podreel.app within 14 days of a charge if you believe a charge is in error. Consumers in the EU/EEA have statutory withdrawal rights; by requesting immediate access to the Service upon purchase, you acknowledge that the 14-day withdrawal right lapses once the Service is fully delivered, in accordance with Norwegian and EEA consumer law.

4. Your content

You retain all rights to the videos, audio, transcripts, and other materials you upload ("Your Content").
You grant us a limited, non-exclusive, worldwide license to host, process, reproduce, and adapt Your Content solely as necessary to provide the Service to you (including transcription, AI clip selection, rendering, and storage). We do not sell Your Content, and we do not use it to train AI or machine-learning models.
You are solely responsible for Your Content and confirm that you own or have the necessary rights (including rights in all music, footage, and persons appearing) to upload and process it through the Service.
Clips produced from Your Content belong to you.

5. Acceptable use

You agree not to:

upload content that is unlawful, infringes others' rights, or violates anyone's privacy or publicity rights;
use the Service to create content designed to harass, defraud, deceive, or harm others;
upload content featuring minors in a sexualized or exploitative manner;
attempt to reverse-engineer, scrape, overload, or disrupt the Service or circumvent usage limits or access controls;
resell or provide the Service to third parties as a competing service without our written consent.

We may remove content or suspend accounts that violate these Terms or applicable law, with notice where practicable.

6. Third-party processors

To operate the Service, Your Content is processed by third-party providers on our behalf, including a transcription provider (AssemblyAI), an AI analysis provider (Google Gemini), a storage provider (Hetzner), a payment provider (Stripe), and an active-speaker-detection service. See our Privacy Policy for details. We prohibit these providers from using Your Content to train their models to the extent such settings are available.

7. Service availability and support

We aim for high availability but the Service is provided without an uptime guarantee. Maintenance, third-party outages, and technical issues may interrupt the Service.
We may modify or discontinue features. If a change materially reduces the core functionality of a paid plan, you may cancel and receive a pro-rata refund for the unused portion of the current billing period.

8. Intellectual property

The Service itself — including software, design, branding, and documentation — is owned by PodReel and protected by intellectual-property law. You receive a limited, revocable, non-exclusive license to use the Service in accordance with these Terms.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-selected clips, transcriptions, or captions will be accurate, complete, or suitable for your purposes. You are responsible for reviewing Clips before publishing them.

10. Limitation of liability

To the maximum extent permitted by law, PodReel shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) NOK 10,000.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence or intentional misconduct, and statutory consumer rights under Norwegian law.

11. Indemnification

You agree to indemnify and hold PodReel harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content or your violation of these Terms or applicable law. This indemnity does not apply to consumers in a way that conflicts with mandatory Norwegian consumer law.

12. Termination

You may delete your account at any time. Upon deletion, Your Content is removed in accordance with our Privacy Policy.
We may suspend or terminate your account for material breach of these Terms, or with 30 days' notice for convenience (with a pro-rata refund for prepaid, unused subscription periods).
Sections that by their nature should survive termination (e.g., Sections 4, 8–11) shall survive.

13. Changes to these Terms

We may update these Terms. Material changes will be announced by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, you may cancel before the effective date.

14. Governing law and disputes

These Terms are governed by the laws of Norway, without regard to conflict-of-law rules. Disputes shall be resolved by the ordinary courts of Norway, with the district court (tingretten) where we are located as the venue, unless mandatory consumer law gives you the right to bring proceedings in your place of residence. Consumers in Norway may also use the Norwegian Consumer Dispute Committee (Forbrukertvistutvalget) or the EU Online Dispute Resolution platform.
